Terms of Service

Welcome to Rivtix. These Terms of Service (“Terms”) govern your access to and use of the Rivtix website, applications, software, services, and related features (collectively, the “Services”).

By creating an account, joining the Founding 50, purchasing a subscription, or otherwise using Rivtix, you agree to these Terms. If you do not agree to these Terms, you should not use the Services.

1. About Rivtix

Rivtix provides business management software designed primarily for contractors, tradespeople, and other blue-collar businesses.

Depending on your subscription and the features available at the time, Rivtix may provide tools for customer management, estimates and proposals, invoices, contracts, scheduling, team management, business organization, artificial intelligence-assisted business insights, and other operational and administrative functions.

Rivtix may add, modify, improve, or discontinue features as the platform develops.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Rivtix.

If you use Rivtix on behalf of a company or other organization, you represent that you have authority to accept these Terms on behalf of that organization.

3. Accounts

Certain Rivtix features require an account. You agree to provide accurate information when creating and maintaining your account.

You are responsible for maintaining the confidentiality of your login credentials, activity conducted through your account, keeping your account information reasonably current, and promptly notifying Rivtix if you believe your account has been compromised.

4. Founding 50 Program

Rivtix may offer a limited early-access program referred to as the Founding 50.

Founding 50 members may receive special pricing, early access, benefits, or other privileges described on the applicable Rivtix offer page.

Unless otherwise stated in the specific offer, a Founding 50 rate applies only while the qualifying subscription remains continuously active and in good standing.

If Rivtix describes a Founding 50 price as “for life,” “locked in,” or similar language, that means Rivtix will not increase the recurring base subscription price for that qualifying subscription while it remains continuously active and in good standing.

Founding 50 pricing does not necessarily include future products, optional add-ons, third-party services, usage-based charges, additional users, premium features introduced outside the applicable plan, taxes, or other services not included in the original offer.

5. Beta and Early-Access Services

Some Rivtix features may initially be offered as beta, preview, experimental, or early-access functionality.

Beta services may contain bugs or errors, change during development, have limited functionality, experience interruptions or downtime, or be modified or removed before general release.

By participating in a beta or early-access program, you acknowledge that the software is still being developed.

6. Subscriptions and Billing

Certain Rivtix Services may require a paid subscription. Subscription pricing, billing frequency, included features, and applicable limits will be displayed when you purchase or select a plan.

Unless otherwise stated, subscriptions automatically renew at the applicable billing interval until canceled.

You authorize Rivtix and its payment processor to charge the payment method associated with your account for applicable subscription fees, taxes, and authorized charges.

7. Cancellation

You may cancel a paid Rivtix subscription in accordance with the cancellation options available through your account or by contacting Rivtix.

Unless otherwise stated, cancellation stops future renewal charges but does not retroactively refund charges already paid.

If you cancel a subscription carrying Founding 50 or other grandfathered pricing, that special pricing may be permanently forfeited.

8. Refunds

Except where required by law or expressly stated in a specific offer, subscription payments are generally non-refundable once the applicable billing period begins.

9. Your Business Data

You retain ownership of the business information and content you submit to Rivtix, including customer information, estimates, invoices, contracts, project information, scheduling information, business records, uploaded documents, and other content entered into the platform.

You grant Rivtix the limited rights necessary to host, process, transmit, display, secure, back up, and otherwise handle this information for the purpose of providing and improving the Services.

Rivtix does not obtain ownership of your business data merely because you store it using the platform.

10. Your Responsibility for Customer Data

Rivtix may allow you to store information about your customers, employees, contractors, or other individuals.

You are responsible for ensuring that you have the legal right and any required permissions to collect, store, upload, process, or communicate using that information.

11. Artificial Intelligence Features

Rivtix may provide artificial intelligence-powered tools, recommendations, generated content, analysis, or other automated assistance.

AI-generated information may occasionally be incomplete, inaccurate, outdated, or inappropriate for a particular situation. You are responsible for reviewing AI-generated recommendations and content before relying on them or using them in your business.

Rivtix AI is an assistant, not the owner of your business.

12. Estimates and Pricing Recommendations

Rivtix may assist users with estimates, pricing, labor calculations, material calculations, profitability analysis, or similar information.

These features are informational tools and do not guarantee that an estimate is accurate, material or labor prices are current, a job will be profitable, or actual costs will match projected costs.

13. Contracts and AI-Generated Documents

Rivtix may provide tools that help users create scopes of work, contracts, clauses, descriptions, or other business documents.

Rivtix is not a law firm and does not provide legal advice.

AI-generated or template-based documents should not be treated as a substitute for advice from a qualified attorney.

14. Accounting, Tax, and Financial Information

Rivtix is not an accounting firm, tax advisor, financial advisor, or financial institution.

You remain responsible for your accounting records, tax filings, financial decisions, and compliance obligations.

15. Electronic Signatures

Rivtix may provide electronic signature functionality. You are responsible for ensuring that documents sent for electronic signature are appropriate for electronic execution and comply with applicable laws.

16. Communications

Rivtix may allow businesses to communicate with customers through email, text messaging, or other communication methods.

You are responsible for ensuring that communications sent through Rivtix comply with applicable laws and that you have any consent required to contact the recipient.

17. Acceptable Use

You may not use Rivtix to violate applicable law, commit or facilitate fraud, access another user's account without authorization, bypass security measures, introduce malware, interfere with the operation of the Services, abuse Rivtix infrastructure, harass or harm others, or conduct illegal or fraudulent business activities.

18. Rivtix Intellectual Property

Rivtix and its associated software, branding, designs, interfaces, logos, features, documentation, and other proprietary materials are owned by Rivtix or its licensors and are protected by applicable intellectual property laws.

19. Third-Party Services

Rivtix may integrate with or rely upon third-party services for hosting, databases, authentication, payment processing, email, messaging, artificial intelligence, analytics, and other integrations.

Rivtix is not responsible for outages, changes, security incidents, or other issues caused solely by third-party services outside Rivtix's reasonable control.

20. Availability of the Services

We work to keep Rivtix reliable and available, but we cannot guarantee uninterrupted operation.

The Services may occasionally be unavailable due to maintenance, upgrades, technical problems, security events, third-party outages, or circumstances outside our reasonable control.

21. Backups and Recordkeeping

Rivtix may implement backup and recovery systems designed to protect platform data. However, you are responsible for maintaining copies of business records that you are legally or operationally required to retain.

22. Suspension and Termination

Rivtix may suspend or terminate access to the Services if we reasonably determine that you materially violated these Terms, your account is being used unlawfully or fraudulently, your activity creates a security risk, required payments remain unpaid, or continued access could harm Rivtix, its users, or third parties.

23. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Rivtix is provided on an “as is” and “as available” basis.

Rivtix does not guarantee that the Services will always be uninterrupted, error-free, completely secure, or suitable for every business purpose.

24. Limitation of Liability

To the fullest extent permitted by applicable law, Rivtix will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Services.

To the fullest extent permitted by law, Rivtix's aggregate liability arising from the Services will not exceed the amount you paid to Rivtix during the twelve months immediately preceding the event giving rise to the claim.

25. Indemnification

To the extent permitted by law, you agree to indemnify and hold Rivtix harmless from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful use of the Services, your material violation of these Terms, content or data you submit without appropriate rights or authorization, or your violation of another person's rights.

26. Changes to These Terms

Rivtix may update these Terms as the platform evolves. If we make material changes, we may provide notice through the website, application, email, or another reasonable method.

27. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles.

28. Entire Agreement

These Terms, together with the Rivtix Privacy Policy and any additional terms applicable to a particular service or offer, constitute the agreement between you and Rivtix regarding your use of the Services.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
